Terms & Conditions

1. Acceptance of Terms

By accessing our website, requesting a consultation, or entering into a service engagement with DKMV TechX Consulting LLP ("DKMV TechX", "we", "us", or "our"), you agree to be bound by these Terms & Conditions. If you do not agree to any part of these terms, please do not use our services or website.

These terms apply to all visitors, clients, and anyone who accesses or uses our website at any time.

2. Services Provided

DKMV TechX Consulting LLP provides technology and AI consulting services, including but not limited to:

  • AI strategy, integration, and automation consulting
  • Web and mobile application development
  • Digital transformation advisory
  • Business process automation
  • Data analytics and insights

The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work (SOW) or service agreement signed by both parties. These Terms & Conditions apply in addition to, and do not supersede, any such agreements.

3. Intellectual Property

All content on this website — including text, graphics, logos, and code — is the property of DKMV TechX Consulting LLP and is protected under applicable Indian and international intellectual property laws.

Unless otherwise agreed in writing:

  • Custom deliverables created for a client become the client's property upon full payment
  • Pre-existing tools, frameworks, libraries, and methodologies developed by DKMV TechX remain our property
  • No content on this website may be reproduced, distributed, or used for commercial purposes without our prior written consent

4. Client Responsibilities

To enable us to deliver our services effectively, clients agree to:

  • Provide accurate and complete information required for the engagement
  • Grant timely access to systems, data, or personnel as needed
  • Review and provide feedback on deliverables within agreed timelines
  • Ensure that any data shared with us is legally obtained and used
  • Comply with all applicable laws in connection with the services

5. Limitation of Liability

DKMV TechX Consulting LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, even if we have been advised of the possibility of such damages.

Our total liability in connection with any engagement shall not exceed the fees paid by you for the specific service giving rise to the claim during the three (3) months preceding the event.

We do not guarantee specific business outcomes from AI or technology implementations, as results depend on factors outside our control.

6. Confidentiality

Both parties agree to treat as confidential any proprietary or sensitive information shared during an engagement. DKMV TechX will not disclose client information to third parties without prior written consent, except where required by law.

This obligation survives the termination of any service agreement.

7. Payment Terms

Payment terms for each engagement are defined in the relevant SOW or invoice. Unless otherwise agreed:

  • Invoices are due within 15 days of issuance
  • Late payments may attract interest at 1.5% per month
  • Work may be paused if payments are overdue by more than 30 days
  • All fees are exclusive of applicable taxes (GST as per Indian law)

8. Termination

Either party may terminate an engagement by providing written notice as specified in the SOW. Upon termination:

  • All fees for work completed up to the termination date become immediately due
  • Each party shall return or destroy the other's confidential information
  • Provisions relating to IP, confidentiality, limitation of liability, and governing law shall survive termination

9. Governing Law & Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising shall first be attempted to be resolved through good-faith negotiation.

If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.

10. Changes to These Terms

We may update these Terms & Conditions from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms. We encourage you to review this page periodically.
